| IEEE POWER ENGINEERING SOCIETY (PES) Distinguished Lecturer Hugh Rudnick, of the Department of Electrical Engineering at Pontificia Universidad Catolica, Chile, delivered lectures at meetings in the United Arab Emirates and Saudi Arabia in May. Prof. Rudnick's topic was "The Challenges of Transmission Expansion in a Deregulated Power Market." Sixty people attended the meeting in Abu Dhabi, United Arab Emirates, and 120 people were present at the 12th IEEE Technical Exchange Meeting held at King Fahd University of Petroleum & Minerals in Dhahran, Saudi Arabia.

Recent PES Bylaws Amendments
The IEEE Power Engineering Society (PES) Governing Board approved two changes to the PES bylaws during two meetings held in 2005. The changes were made to bylaws articles 11.2 and 11.4. The amended bylaws and the background behind these required changes are given below.
Bylaw Change 1: Article 11.2
Since 2003, the IEEE PES has had contested elections for president-elect, secretary, and treasurer. During deliberations by the PES Nominations & Appointments Committee to put together a slate of candidates for the 2005 election, it was noted that the treasurer and secretary positions have a long learning curve and that changing the positions every two years would mean the new officer would have to relearn the position each time. The committee felt that it was in the best interest of PES to have a one-person slate with the incumbent if the secretary or treasurer has an excellent performance record, and it was voted on by the Nominations and Appointments (N&A) Committee. The current bylaws only allow this with a unanimous vote, but the N&A committee and Governing Board felt a two-thirds majority vote by the Board was more appropriate. This new bylaw gives the N&A Committee the flexibility to have one-person slates for the secretary or treasurer position with a two-thirds Board majority vote. The PES Governing Board approved the revised bylaw, presented below, on 20 January 2005.

Shaun Paul Slattery, 61, chair of the Low Voltage Switchgear Devices Subcommittee of the Switchgear Committee died 24 May 2005. He graduated from Villanova University in 1972, earning a bachelor of electrical engineering degree. Shaun was employed as an electrical engineer for General Electric for 13 years and Siemens Energy and Automation for 18 years. He was a long-standing Member of IEEE, the Power Engineering Society (PES), the Industry Applications Society (IAS), and the National Electrical Manufacturers Associations (NEMA).

Revised Bylaw 11.2
The Nominations and Appointments Committee shall, before 1 March every two years, submit to the Board for its consideration and approval a slate of officers to be elected by the membership for the coming administrative term. The Board shall cause its approved slate to be printed in a society publication that is distributed to all members before May 1. The Nominations and Appointments Committee shall nominate two or three candidates for any of the above offices. In the case where multiple candidates for any of the offices are not available, the Nominations and Appointments Committee may nominate a single candidate for any of the above offices providing that two-thirds of the Nominations and Appointments Committee agrees that such a candidate has outstanding qualifications for the office and providing further that all other requirements of the IEEE Bylaws are satisfied. In addition, in the case of the Secretary and Treasurer, where an incumbent Secretary or Treasurer has an excellent performance record in the position and it is judged that the Society would benefit from service continuation to avoid the generally long learning time of a newly elected Secretary or Treasurer, upon the recommendation of the Nominations and Appointments Committee, the Governing Board may decide to present a single candidate (the incumbent) for either or both office(s) for a second two-year term.
Bylaw Change 2: Article 11.4
The PES is moving to make the election process more timely for all members, especially those in Regions 8, 9, and 10. To facilitate the voting process, the IEEE and PES are moving toward allowing electronic distribution of balloting materials as well as permitting PES members to cast their votes electronically. The current bylaws implied that a paper ballot would be mailed to all members. Although this will apply to the 2005 elections, in future elections PES members will have the option to receive candidate statements electronically and to vote electronically. The approved bylaw amendment clarifies the process to allow for this method of information distribution and voting. The PES Governing Board approved the amendment, presented below, on 12 June 2005.
Revised Bylaw 11.4
The election for offices of the President-Elect, Secretary, and Treasurer shall be held by a ballot presented to the membership not later than September 1. To be counted, the ballot must be received at the designated location by twelve o'clock noon on November 1 or on the following Monday if November 1 falls on a Saturday or Sunday.

Petition Candidate Certified for Division VII Director Election
IEEE Corporate Activities has notified the IEEE Power Engineering Society (PES) that, after the receipt and review of a completed petition, it has certified a candidate to compete in the Division VII Director election. The petition candidate, William O. Kennedy, has provided pertinent information regarding himself and his candidacy, which may be found on the PES Web site (http://www.ieee.org/power), together with similar information provided by Board-approved candidates.
