Contract Templates and Forms
IEEE subject matter experts worked closely with our legal counsel, Dorsey & Whitney, to create contract templates which include clauses that protect IEEE.
- Master Services Agreement (MSA): (62 KB, DOC) This is to be used with businesses that are commissioned for editorial work or any other type of work.
- Master Services Agreement (MSA) Addendum: (43 KB, DOC)To be submitted when an addendum is required to the Master Services Agreement.
- Independent Contractor Agreement (ICA): (71 KB, DOC)) This is to be used with qualified Independent Contractors (IC's) that are commissioned for non-editorial work. For example, writers, graphic artists and ICs commissioned by IT&S would use the ICA, provided they work under their own social security # as an individual and not as a corporation.
- Independent Contractor Agreement (ICA) Addendum: (34 KB, DOC)To be submitted when an addendum is required to the Independent Contractor Agreement.
- Editorial Services Agreement: (74 KB, DOC) To be used with Editors who qualify as Independent Contractors commissioned to edit. (Editors do not write original content). "Editors" includes "freelance editors." Note: Under Schedule A bullet 1, "The Editor is", you may write in "Article Editor" or whatever is the correct description.
- Editorial Services Agreement (University): (83 KB, DOC)To be used with Editors who are employed by a university. The contract is between the IEEE and the university.
- Editorial Services Addendum: (43 KB, DOC)To be submitted when an addendum is required to the Editorial Services Aggreement.
- IEEE Supplier Justification/Price Verification Form: required for contracts and commodity orders valued at or above $250K in accordance with, "IEEE FOM 8.I. Competitive Bidding".
- Standard Conference Agreement: To be used when contracting with hotels and meeting management.
- Non-Disclosure Agreement: (39 KB, DOC)To be completed if confidential or proprietary IEEE information will be shared with the vendor.
- Addendum for Agreement funded by U.S. Federal Grant: (52 KB, DOC) To be submitted when an agreement is being fully funded and supported by one or more U.S. federal grants
