Overview

Prior to adoption, all Major Board Operations Manuals or any amendments to their procedures, must be submitted and reviewed by the IEEE Governance Committee, and when appropriate, IEEE's legal counsel. ( IEEE Bylaw I-304.9)

The review procedures were established in order to develop a standard for the Major Boards and Committees to follow when revisions are made to their respective Operations Manuals.

 

What are the Operations Manuals Reviewed For?

All revisions to the Operations Manuals shall be forwarded to review for:

  1. Compliance with the IEEE Certificate of Incorporation, New York Not-For-Profit Corporation Law, IEEE Constitution, Bylaws and Policies.

  2. Changes that may have legal ramifications. IEEE legal counsel may be asked to review and that advice/opinion shall be shared with the organizational unit if further revisions are needed in order that the change(s) comply.

  3. Confirmation that the revised text correctly reflects the desired change.

 

Procedure for Revisions to Operations Manuals

All submissions should:

  • clearly indicate the current text compared to the proposed changes. (utilizing the current practice of strikeouts and underlines to indicate additions and deletions.)
  • include an explanation of the intent of the change.
  • be sent electronically to the IEEE Governance Committee at   ops-manual@ieee.org.

The IEEE Governance Committee discusses modifications, if needed, and comes to agreement with the Organizational Unit.  Once approved by the committee, the Organizational Unit may adopt the revision according to its own established approval process.

In order to accommodate the Major Boards meeting schedule and allow for a thorough review by the Governance Committee, items should be submitted no later than the submission dates for IEEE Board items. For 2008 those dates are: 

February Board Series
June Board Series    
November Board Series  

14 December 2008
18 April 2008
  5 September 2008

Each Organizational Unit shall make available and maintain its Operations Manual online. Corporate Activities shall link to the manuals from the Governance Documents web pages.
