  1. How Constituted.   The Corporate Officers of the IEEE shall be the President, the President-Elect, the IEEE-USA President, the Vice President - Technical Activities, and the Corporate Officers elected by the Assembly as defined in Bylaw I-203.1.

  2. Incapacity of President.  An incapacity of the President that does not constitute a vacancy of office shall be determined by the Board of Directors, or by the Executive Committee if the incapacity occurs at a time when it is not feasible to convene a meeting of the Board and there is need for action.  In addition, the President may declare a condition of incapacity and the duration thereof by written communication to the Secretary.

    During such incapacity of the President, the President-Elect or, if the President-Elect is unavailable or incapacitated, such person as designated by the Board of Directors shall assume the Presidential duties.

  3. Duties of the IEEE Secretary and Assistant Secretary.  

    1. Annual Report of the Secretary.   In addition to the duties specified in the Constitution, the Secretary shall prepare an Annual Report on membership, meetings, and IEEE activities to be submitted to the Board of Directors.

    2. The Assistant Secretary shall have such powers and duties as the Secretary may assign.  If the Secretary is absent, disqualified from acting, unable to act or refuses to act, the Assistant Secretary shall have the powers of, and perform the duties of, the Secretary.

  4. Duties of the IEEE Treasurer and Assistant Treasurer.  

    1. Treasurer’s Report. In addition to the duties specified in the Constitution, the Treasurer shall make a report to the Executive Committee semiannually concerning the status of the IEEE investments.

    2. The Assistant Treasurer shall have such powers and duties as the Treasurer may assign.  If the Treasurer is absent, disqualified from acting, unable to act or refuses to act, the Assistant Treasurer shall have the powers of, and perform the duties of, the Treasurer.

  5. Vacancies.   A vacancy among the Corporate offices and the duration thereof shall be determined by the Board of Directors.  Any vacancy in the Corporate offices shall be filled as provided in Bylaw I-301.10.

  6. Reimbursement of Expenses.   Reimbursement for actual and necessary expenses is authorized for the Corporate Officers, incurred in the performance of their IEEE duties over and above their duties as Delegates and Directors.
